(Nasdaq: CLOE) (“CLOE” or “Clover Leaf”), a publicly traded special purpose acquisition company, and Digital Ally, Inc. (Nasdaq: DGLY) (“Digital Ally”) today announced that Clover Leaf’s registration statement on Form S-4 has been declared effective by the U.S. Securities and Exchange Commission (the “SEC”) as of Tuesday, July 30, 2024, relating to the previously announced proposed business combination by and among Clover Leaf, Kustom Entertainment, Inc. and CL Merger Sub, Inc.

Clover Leaf has mailed the definitive proxy statement/prospectus (the “Proxy Statement”) to stockholders of record as of the close of business on July 24, 2024.
